Business law and business bankruptcy law is the focus of Foster, Kallen & Smith.  In addition to representing clients with respect to commercial, banking, and corporate matters, the firm practices in the state and federal courts of metropolitan Chicago, Illinois.

Foster, Kallen, and Smith is proficient in commercial matters, including secured lending transactions and other commerce under the Uniform Commercial Code, the purchase of companies or assets (as part of insolvency proceedings or otherwise), and the litigation of contract disputes.

Foster, Kallen, and Smith is highly experienced in representing debtors and creditors in the following scenarios:

Court-supervised reorganization proceedings under Chapter 11 of the Bankruptcy Code, which entail negotiating, formulating, approving, and effectuating a plan of reorganization to recast debt.

Litigation within the Bankruptcy Court with respect to:  (i) disputes regarding the validity and/or amount of creditors’ claims; (ii) “preference” and “fraudulent conveyance” actions to determine whether pre-bankruptcy transfers by debtors to creditors will be rescinded; (iii) objections to the discharge of debts through the bankruptcy that may be tainted by fraud; and (iv) the assumption or rejection of leases and other executory contracts.

Commercial litigation, including prejudgment default remedies, trials and appeals, and post-judgment enforcement proceedings.

         Out-of-court “workouts” that restructure debt.

Liquidations of assets that are “assignments for the benefit of creditors” under Illinois law (including representing designated assignees).
